Lead Counsel M&A [CLOSED]

On behalf of our customer, a listed, multinational Life Sciences group with worldwide headquarters in the Basel area, we are seeking the Lead Counsel M&A (f/m):

 

Main tasks:

  • As Lead Counsel you will have primary responsibility to provide legal support regarding the group’s worldwide M&A and Corporate Venture Capital (CVC) transactions, joint ventures, strategic partnerships and other corporate projects.
  • You are expected to provide professional and client-focused legal advice and guidance to assigned activities of the group’s corporate functions.
  • You will shape and further develop the governance framework for the M&A and CVC processes and policies.
  • Areas of work cover, in particular, mergers & acquisitions, including merger control, corporate law, securities law (including listing and reporting requirements) and Corporate Venture Capital (CVC) transactions.
  • You will contribute to delivering the mission of the Corporate Legal Affairs (CLA) group.

 

Requirements:

  • Law degree (Swiss attorney or equivalent foreign qualification)
  • 4 – 8 years international commercial legal practice in a law firm, an in-house legal department or an advisory service firm, with a strong transactional focus (M&A / CVC projects)
  • Very good fluent written and spoken English and German; other language skills desirable
  • Detailed understanding and appreciation of M&A / CVC relevant aspects of the law (corporate law; merger law; antitrust law)
  • Ability to work independently but with strong communication and collaborative skills
  • Willingness to travel
  • Business acumen to approach issues not only from a legal but also from a commercial and organizational perspective
  • High level of analytical and conceptual thinking to structure commercial proposals and translate them into appropriate legal concepts
  • Ability to focus on key risks and to appropriately mitigate them in contractual structures
  • Solution orientation
  • Strong time management, prioritization, and organizational skills
  • Ability to swiftly adapt to and deal with fast shifting priorities
  • Excellent negotiation skills
  • Effective and team-oriented collaboration with all internal stakeholders involved in M&A / CVC transactions
  • Ability to effectively work with and manage external counsel
  • Ability to explain legal concepts and issues into layman’s terms
