On behalf of AOC Aliancys, the leading global manufacturer and supplier of polyester and vinyl ester resins, gelcoats and specialty materials used for the composites industry headquartered in Collierville (TN, USA) and Schaffhausen (Switzerland), we are seeking as of 1 August 2019 (or as otherwise agreed) the Legal Counsel EMEA/Asia based in Schaffhausen:

Responsibilities:

• Provide appropriate, professional, pro-active and timely Legal & Compliance support to the Headoffice and the group’s functions and legal entities across EMEA/Asia, incl. ad hoc legal advice
• Be the legal end-responsible for the region EMEA/Asia and as such work closely together with senior management on a wide range of commercial and strategic legal issues
• Support the business strategy and operations by giving pro-active and professional legal support and advice, while acting as trusted professional and value adding business partner
• Reporting to the General Counsel based in the Netherlands and managing one Paralegal, with a dotted line to the CFO EMEA/Asia
• Provide cross-functional legal, contract management (Effacts) and Compliance support
• Advise on M&A transactions, joint ventures and other major contracts
• Prepare, review and negotiate all types of contracts and other legally relevant documents, incl. standards and templates
• Responsible for corporate housekeeping, incl. corporate secretary tasks, organizing General Assemblies and Board meetings, and taking minutes, with respect to assigned legal entities
• Represent the group towards external authorities, trade associations and other organizations
• Manage external claims and litigations
• Select, instruct and monitor external lawyers and other consultants
• Provide in-house trainings regarding Legal & Compliance topics, and manage and support Legal & Compliance audits
• Support senior management regarding risk topics, incl. risk assessments
• Respect and uphold the group’s values and commitment

Requirements:

• Law degree from a continental European university and bar exam; LL.M. or other postgraduate degrees would be a plus
• Fluency in English and German (each at least level C1); any additional European language would be a plus
• At least 7 years inhouse experience at a multinational industry group (part of which may have been gained at a renowned, international law firm advising multinational industry clients); at least 3 years of this experience must have been gained in Switzerland
• Knowledge and understanding of the chemical industry would be a plus
• Leadership experience would be a plus
• Strong interpersonal skills
• Excellent communication, negotiation and presentation skills
• Experience in providing compliance trainings for management and staff as well as “train-the-trainer”
• Ability to analyse business requirements from a legal point of view and to translate into appropriate legal solutions
• Experience in managing a hard workload with conflicting priorities
• Ability to work in an international setting; strong awareness of cultural differences

• Ability to apply high ethical standards and protect the higher interests of the organization
