On behalf of our customer, a multinational Life Sciences group headquartered in Kuala Lumpur, Malaysia, we are seeking a Senior Legal Counsel based in Kuala Lumpur:

 

Responsibilities:

  • Report directly to the Managing Director of the company
  • Draft, review and negotiate various types of commercial contracts, including CDAs, MTAs as well as R&D, Purchasing, Contract/Toll Manufacturing, M&A, Licensing, Marketing/Sales/Distribution/Agency, and Intra-group Agreements (including relevant templates and standard agreements)
  • Draft and review agreements and other legally relevant documents as may be required for corporate, regulatory, quality and other purposes
  • Manage the contract management of the company
  • Prepare and manage the annual budget relating to commercial contracts, including travel expenses, and the annual business plan in respect to commercial contracts
  • Advise on legal risks and propose solutions/alternatives
  • Act as a point of contact and reference for addressing and clarifying legal issues
  • Conduct legal trainings as may be required or useful for the company
  • Conduct research on legal issues
  • Act as the Legal contact point for the company vis-à-vis external business partners
  • Align the commercial needs of the company with the group policies and strategies vis-à-vis the group Legal Department, where necessary
  • Align Intellectual Property matters of the company vis-à-vis the group Legal Department, where necessary
  • Manage the company’s litigation matters with external counsel where relating to operational matters

 

Requirements:

  • Master of Law gained from a European university. European Bar Exam (UK or continental Europe) would be a plus
  • At least 10 years experience in drafting, reviewing and negotiating numerous types of commercial contracts (mostly cross-jurisdictional), gained in continental Europe either from advising Life Sciences clients at a renowned law firm or from serving as in-house counsel at a Life Sciences organisation
  • Extensive experience in commercial and legal dealings with third party businesses in the Life Sciences industry is essential
  • Experience in intellectual property rights would be an asset
  • Strong business acumen and capability of teaming up and interacting with the relevant commercial departments within the company
  • Ability to apply relevant industry commercial experience in an international setting
  • Fluency in English. Knowledge in German and/or Dutch would be an asset
  • Excellent interpersonal and communication skills
  • Computer literate with knowledge in MS Office applications
  • Strong negotiation skills, good analytical skills, result oriented, organized, detailed and committed to deadlines
  • Innovative, resourceful and a team player with the ability to work independently in a dynamic & fast paced environment
  • Ability to travel to accompany the commercial business teams in contract negotiations
